1. platform purpose
destroysaas is a platform where small businesses collectively fund, own, and control the software they depend on. we facilitate the process of proposing software ideas, gathering financial commitments (pledges), and contracting development cells to build and maintain that software.
2. pledges and commitments
pledges made on the platform are non-binding expressions of interest and willingness to contribute a monthly amount toward a software idea. pledges do not constitute charges, contracts, or payment obligations.
when an idea reaches the board-set funding threshold and a cell is selected, participating pledgers will be invited to enter into a binding cooperative agreement. only at that point do financial obligations begin. during the build phase, pledges are escrowed for the contracted duration. you may withdraw your pledge at any time before pledges lock.
3. cell selection and obligations
cell selection creates a contractual relationship between the cooperative and the assigned cell. the cell designs, builds, and operates the software under contract, subject to automated quality gates, transition readiness requirements, and board review. source code produced under cooperative contracts is owned by the cooperative. cells retain rights to code they created before the engagement or independently outside of it.
4. fork freedom
source code produced under destroysaas contracts is collectively owned by the cooperative, licensed under established source-available frameworks. any member may fork the code, export their data (via self-serve export), and independently run or modify the software for their own business — including hiring any developer or agency to host it. members may not resell, sublicense, or offer forked code as a hosted service to others. leaving the cooperative does not revoke your right to the code — it revokes your access to the cooperative's hosted infrastructure, ongoing maintenance, and updates.
5. user responsibilities
- provide accurate information when creating your account
- do not submit spam, abusive content, or fraudulent ideas
- do not impersonate other users or organizations
- pledge amounts you can realistically commit to if the idea reaches threshold
- respect other community members in comments and discussions
6. admin rights
platform administrators reserve the right to moderate content, remove ideas or comments that violate these terms, approve or reject cell applications, and approve projects when appropriate. admin actions are taken in the interest of platform health and community trust.
7. dispute resolution
disputes between cooperative members are resolved first through direct communication, then through the cooperative's governance process (product steward for operational issues, board for escalations). all membership agreements include binding arbitration clauses to keep dispute resolution fast and affordable. disputes involving the platform itself should be directed to the platform administrators.
8. limitation of liability
destroysaas provides this platform "as is" without warranty of any kind. liability for software defects flows through the cooperative to the cell that wrote the code, capped at the total fees paid to the cell under that project contract. the cooperative's own liability is limited to negligence in governance. the cooperative carries general liability insurance and maintains a reserve fund.
9. changes to terms
we may update these terms from time to time. significant changes will be communicated via email to registered users. continued use of the platform after changes constitutes acceptance.
